In this fast-paced world of startups, not every success story ends with a happy ending. Similar is the example of ANS Commerce, which is a Gurugram-based e-commerce company. It started with a big dream and ambition, and was even bought by Flipkart, but still it had to shut down. What actually went wrong and what can be a learning for us.
A Promising Start
Founded in 2017, ANS Commerce was ready to mark a change in the direct-to-consumer (D2C) space in India. The company provided a holistic range of services, which included:
• Allowing brands to build and operate their own online stores.
• Delivering targeted traffic to such stores.
• Helping brands to sell effectively on Flipkart and Amazon.
• Managing logistics and inventory management.
By 2021, ANS Commerce had brought in more than 100 brands, such as Nivea, Jack & Jones, Lakmé and many others. The company’s strategy and big client list attracted investors as well as industry leaders.
Flipkart’s Bold Move
In April 2022, Flipkart the India’s largest e-commerce company acquired ANS Commerce at about ₹250–300 crore. The deal was strategic as it would support Flipkart’s deals for D2C brands and its e-commerce platform.
Even after the acquisition, ANS Commerce remained an independent company with its current leadership team. The integration was for offering D2C brands a platform to operate their online business.
Why ANS Commerce Couldn’t Keep the Momentum Going

Although there was initial hope but ANS Commerce struggled to become profitable. In the year 2024, the company’s position is as follows:
• Had Operating Revenue of ₹54 crore, an increase of 39.4% compared to the last year.
• Also had Net Loss of ₹73.8 crore, an increase of 27.1% from the last year’s loss of ₹57.8 crore.
These recurring losses put the sustainability of the business model in question. In March 2025, Flipkart announced that ANS Commerce was shutting down to focus more on its main business. This led 200 employees to lose their jobs, bringing the company to its end.
Lessons From ANS Commerce’s Fall
The ANS Commerce presents some important lessons for businesses and entrepreneurs:
1. Despite having a strong client base and early success, growing the business steadily is a major challenge.
2. Explosive revenue growth has to be complemented with a well-defined profitability path for ensuring long-term sustainability.
3. The acquisitions have to be aligned with the overall strategic objectives of the parent organization to prevent issues in integration.
4. The e-commerce environment is dynamic as there are lot of changes with which the companies have to keep on with.

The Key Takeaways
The story of ANS Commerce highlights the challenges faced in creating a sustainable business in the e-commerce industry. Though the company’s initial success was commendable but its failure to maintain profitability and deliver on Flipkart’s objectives made it to shut down.
